1. Can an overseas buyer pursue a Chinese supplier in China?
Potentially, yes. The contract comes first. A valid arbitration agreement may require the buyer to use the named institution, seat, language and rules. If the parties selected a competent Chinese court, or no effective forum clause exists, jurisdiction may depend on the defendant's domicile, contractual performance, the subject matter and other statutory connections. Choosing a foreign court is not automatically more effective, because a resulting judgment may still require a separate recognition and enforcement process in China.
Run four workstreams together: identify who bears the obligation, select the procedure, prove breach and loss, and test whether the supplier owns controllable assets. Repeated emails alone do not manage limitation, disappearing evidence or dissipation risk.
2. The first 48 hours: map the entity, payment and goods
Prepare a one-page transaction map showing the contract name, signatures and company chop, purchase orders, pro forma and commercial invoices, beneficiary account, bill of lading, customs record, website and email identities, Chinese company name and Unified Social Credit Code. A buyer may believe it contracted with a factory while the legal counterparty is a trading company, or payment may have gone to an employee, affiliate or personal account. Liability does not move automatically between them.
Record the goods status: not produced, produced but withheld, in transit, rejected on arrival, or accepted before a latent defect emerged. Each stage creates different inspection, custody, notice and mitigation decisions. Do not destroy or return disputed goods without preserving a reliable opportunity for inspection.

3. Read the dispute clause before choosing negotiation, arbitration or litigation
Review the clause word by word. A misnamed institution, conflicting court and arbitration clauses, a bare agreement to negotiate, or reference to non-existent rules can generate a preliminary jurisdiction fight. A foreign governing-law clause does not necessarily require a foreign court; equally, Chinese jurisdiction does not mean every merits question is automatically governed by Chinese law.
Absent a valid arbitration agreement, China's current civil procedure framework recognises jurisdictional connections for foreign-related contract disputes. Compare litigation in China, onshore or offshore arbitration, and any existing foreign process by reference to preservation, service, evidence, cost, time and enforcement. A structured demand and settlement window can run first, but formal preparation should continue in parallel.

4. Choose the remedy: goods, cure, refund or damages
The remedy should follow the commercial objective. If performance retains value, consider delivery, replacement, repair or rework. If the relationship has broken down, determine whether the breach supports termination and restitution. A minor non-conformity does not automatically justify a full refund; the legal consequence of a fundamental failure can be different.
Potential loss may include cover-purchase price difference, inspection, storage, reasonable transport and disposal costs, mitigation expenditure and contractual liquidated damages. Each item needs a contractual or legal basis, causation, foreseeability and proof of amount. For qualifying international sales, assess whether the CISG applies and whether the parties effectively excluded it.
5. Build an evidence pack around contract, performance, breach and loss
A cross-border supply contract may be distributed across orders, quotations, pro forma invoices, samples, specifications, platform records, emails, messages, payments and logistics documents. Arrange the original records chronologically and identify who created each item, where the original is held and what fact it proves. Preserve complete conversations, account identifiers, exports and source devices rather than selected screenshots alone.
A quality case needs a reproducible inspection chain. The laboratory or surveyor, sampling method, sealed samples, governing standard, date and place of images, lot identification and custody may all be challenged. If goods were resold, repaired or destroyed, preserve why that step was necessary and whether the supplier was invited to inspect or participate.

6. Asset preservation can determine whether a paper win becomes recovery
Assess preservation early where the supplier is closing, ceasing production, diverting receipts, changing shareholders repeatedly or facing multiple creditors. Chinese courts generally require a credible claim basis, an explanation of risk, asset leads and appropriate security. Arbitration-related preservation may also be transmitted to a competent court through the applicable procedural route.
Asset intelligence should not stop at the phrase 'bank account'. Prioritise known beneficiary accounts, equity, real property, vehicles, equipment, platform receivables, customer debts, intellectual-property income and enforcement records. Preservation is not punishment and does not guarantee recovery, but waiting until after judgment can be commercially costly when assets are mobile.
7. Foreign-company documents and remote participation
A foreign company will commonly need evidence of legal existence, representative authority, powers of attorney and the required authentication formalities. Whether an apostille or another process applies depends on the country of origin, document type and treaty relationship. The Apostille Convention entered into force for Mainland China on 7 November 2023, but scope and bilateral operation still require document-specific review. Chinese translations must meet the forum's requirements.
The Supreme People's Court has provided online filing guidance, identity verification, video witnessing of authority and registration services for cross-border litigants. Availability of online filing does not mean every case can proceed remotely throughout, or that compliant originals and hearing participation will never be required.
8. Do not recast every breach as fraud
Delay, quality disagreement, financial distress or refusal to refund ordinarily begins as a civil or commercial dispute. A separate criminal assessment may be appropriate where evidence points to fabricated identity or capacity, forged core documents or an intention from the outset to obtain money unlawfully. The competent authorities decide whether a crime is established.
Criminal reporting and commercial recovery are not substitutes. A buyer must still manage contractual claims, limitation, arbitration or litigation, preservation and evidence. Threatening exaggerated criminal allegations can damage negotiations and create compliance risk; communications should stay factual and verifiable.
9. A 30-day recovery plan
Use the first month to test legal and commercial recoverability rather than waiting indefinitely for another promise.
- Days 1–3: stop further unsecured payments and preserve entity, contract, payment and communication records
- Days 4–7: review forum, governing law, inspection notices and limitation deadlines
- Days 8–12: map each remedy and amount to supporting evidence
- Days 13–17: investigate the Chinese entity's operating status and preservation targets
- Days 18–21: issue a formal notice with a clear response and settlement deadline
- Days 22–26: prepare corporate authority, apostille or other formalities and Chinese translations
- Days 27–30: decide whether to commence arbitration or litigation and seek preservation

Effective recovery from a Chinese supplier is not a longer demand letter. It is an enforceable route connecting the correct entity, forum, remedies, evidence and assets. Early verification of the payment and performance parties, reliable quality evidence and asset intelligence can materially reduce the risk of winning on paper but collecting nothing. The contract, trading countries, goods status, payment route and asset position require matter-specific review.
